What goes into
the board paper.

A useful paper states the approval requested, the evidence supporting it and what still needs to be resolved.

Begin with the decision. State the commercial terms, the information considered and the assumptions that could change the assessment. Keep background material available without allowing it to obscure the approval being requested.

Where a fact remains unconfirmed, show who is checking it and when it is needed. A paper should distinguish a signed agreement, a management forecast and a proposal still under negotiation.

The supporting record.

Authority

Who can instruct
and approve?

Confirm the instructing party and the approval being sought. The relevant governing documents, delegated authorities and legal advice determine who decides. We organize the commercial information for that process.

Interests

What needs
separate review?

Identify interests and connected parties before circulation arrangements are agreed. Counsel determines the applicable duties, disclosure requirements and any need for an independent committee or separate advice.

Evidence

Which assumptions
matter?

Show the source of material terms and forecasts. Explain how a different receipt date, price or condition would affect the commercial comparison. Keep unresolved matters visible in the paper.

Record

What follows
the decision?

Record the supporting analysis and outstanding actions. The company’s own governance process remains responsible for formal minutes, required approvals and the record of the board’s decision.

How an assignment is defined.

The instruction and the parties

The engagement identifies the client, the commercial question, the work products and the people authorized to instruct us. Before detailed information is exchanged, the parties establish the scope and arrangements for handling documents.

Specialist responsibilities

Legal, tax, securities, valuation and formal restructuring work require the appropriate appointed providers. Our commercial analysis does not establish a professional authorization or a formal appointment to carry out those activities. We do not arrange investment transactions or hold client funds.

Different entities and jurisdictions

There is no single set of board duties that applies to every business. The company’s entity type, governing documents and relevant jurisdictions must be considered by its counsel. A cross-border relationship map is a working aid for that review, not a legal conclusion.

Documents and circulation

Use an initial email to identify the company, the subject and any deadline. Sensitive financial information, inside information and personal records should be exchanged only through the document-handling process agreed for the assignment.
